Full License Agreement

FULL LICENSE AGREEMENT (UNRESTRICTED USE + RESALE + NFT)

Licensor: TP E-COMMERCE LLC (“Licensor”)
Licensee: The buyer/customer (“Licensee”)
Artwork: The digital artwork file(s) provided with purchase (including any included formats, sizes, and variants)

This Full License Agreement (“Agreement”) governs use of the Artwork purchased from Licensor. By purchasing, downloading, accessing, or using the Artwork, Licensee agrees to these terms.

1. Grant of Full License

Upon purchase, Licensor grants Licensee an irrevocable, worldwide, perpetual, non-exclusive, transferable, sublicensable license to use, copy, reproduce, modify, adapt, publish, distribute, publicly display, publicly perform, sell, resell, and otherwise exploit the Artwork for any purpose, including commercial purposes, with no royalties owed to Licensor.

2. Ownership and Copyright

Except for the license granted in this Agreement, Licensor retains underlying copyright in the Artwork.

However, Licensee receives full usage rights as described in this Agreement, including rights that allow Licensee to commercially exploit the Artwork without restriction.

3. Unlimited Permitted Uses (Explicit)

Licensee may do anything, including but not limited to:

  • Use the Artwork in commercial or personal projects

  • Use in branding, advertising, packaging, websites, apps, games, video, print, social media

  • Create derivative works, edits, crops, recolors, overpaints, composites, and transformations

  • Use on print-on-demand platforms and manufacturing workflows

  • Include in digital products (templates, graphics packs, courses, ebooks, UI kits, etc.)

  • Resell the Artwork as a standalone digital file (original or modified)

  • Redistribute the Artwork in any format (free or paid)

  • Sublicense the Artwork to third parties (including clients) under any terms Licensee chooses

  • Upload, list, and sell on any marketplace or distribution channel (including stock sites, asset stores, and “digital downloads”)

  • Use in blockchain/NFT projects, including minting, listing, selling, transferring, fractionalizing, and related promotional use

  • Use in AI-related contexts, including training datasets, model training, fine-tuning, embeddings, and machine learning systems

4. No Attribution Requirement

Attribution is not required. Licensee may credit Licensor if desired, but it is optional.

5. No Exclusivity

This license is non-exclusive. Licensor may continue to sell, license, or otherwise use the Artwork, including licensing the same Artwork to others under the same or different terms.

6. Third-Party Components (If Any)

If any Artwork includes fonts, logos, trademarks, stock elements, or other third-party components that are not owned by Licensor, those components may be subject to third-party terms. Licensor does not grant rights it does not own, and Licensee is responsible for complying with any applicable third-party license requirements.

7. Licensee Responsibilities

Licensee is responsible for ensuring the use of the Artwork complies with applicable laws and does not infringe third-party rights arising from Licensee’s particular use-case (e.g., use implying endorsement, defamatory uses, illegal content, etc.).

8. No Warranty

The Artwork is provided “as is” and “as available.” Licensor makes no warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or that the Artwork will meet any specific technical or commercial requirements.

9. Limitation of Liability

To the maximum extent permitted by law, Licensor is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business, or reputational harm.

Licensor’s maximum aggregate liability under this Agreement shall not exceed the amount paid by Licensee for the Artwork.

10. No Support / Updates Obligation

Licensor has no obligation to provide updates, revisions, file replacements, compatibility fixes, or technical support unless explicitly stated at the point of sale.

11. Refunds

Digital goods are generally non-returnable once delivered. Any refund policy is governed by the store’s Return/Refund Policy and applicable law.

12. Governing Law

This Agreement is governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

13. Entire Agreement

This Agreement constitutes the entire agreement between Licensor and Licensee regarding the Artwork and supersedes prior or contemporaneous understandings on licensing for the Artwork.
