COMMERCIAL LICENSE AGREEMENT

Licensor: TP E-COMMERCE LLC

This Commercial License Agreement (“Agreement”) governs the use of digital artwork files (“Artwork”) purchased from TP E-COMMERCE LLC (“Licensor”). By purchasing, downloading, or using the Artwork, the buyer (“Licensee”) agrees to the following terms:

1. Grant of License

Upon purchase, Licensor grants Licensee a non-exclusive, non-transferable, worldwide commercial license to use the Artwork in accordance with this Agreement.

Ownership of the Artwork and all intellectual property rights remain exclusively with the Licensor.

2. Permitted Commercial Uses

The Licensee may:

  • Use the Artwork in commercial projects

  • Use in branding, advertising, social media, websites

  • Print on physical products (posters, apparel, packaging, books, etc.)

  • Use in digital products (eBooks, course materials, presentations, templates)

  • Use for marketing and promotional purposes

  • Incorporate into client projects

Commercial usage is permitted without royalty payments.

3. Prohibited Uses

The Licensee may NOT:

  • Resell, redistribute, sublicense, or share the original digital file

  • Sell the Artwork as a standalone digital file

  • Upload the file to stock websites or digital marketplaces

  • Claim authorship or copyright ownership

  • Use the Artwork in NFT minting or blockchain products

  • Use the Artwork in AI training datasets or machine learning systems

  • Offer the Artwork as a downloadable asset in any format

The Artwork must be incorporated into a new product or project and cannot be resold as-is.

4. Modification Rights

The Licensee may modify, crop, recolor, or adapt the Artwork.

However:

  • Modified versions may not be resold as standalone digital files.

  • The original copyright remains with the Licensor.

5. Print-On-Demand Usage

The Artwork may be used for print-on-demand products, provided:

  • The digital file itself is not distributed

  • The Artwork is part of a finished product

6. No Exclusivity

This license is non-exclusive unless explicitly stated otherwise in writing.

Licensor retains the right to:

  • Resell the Artwork

  • License the Artwork to other buyers

  • Use the Artwork for promotional or commercial purposes

7. 1-of-1 Exclusive Upgrade (Optional Tier)

If the product listing explicitly states “Exclusive Commercial License”:

  • The Artwork will be removed from future sales.

  • Licensee receives exclusive commercial rights.

  • Licensor retains copyright ownership but will not re-license the Artwork.

8. Intellectual Property

All Artwork remains the intellectual property of TP E-COMMERCE LLC.

This Agreement grants usage rights only — not ownership.

9. Limitation of Liability

The Artwork is provided “as is.”

Licensor is not liable for:

  • Indirect damages

  • Lost profits

  • Third-party claims arising from improper use

Maximum liability shall not exceed the purchase price.

10. Termination

Violation of this Agreement results in automatic termination of the license.

Upon termination, Licensee must cease all use and destroy digital copies.

11. Governing Law

This Agreement shall be governed by the laws of the State of Wyoming, United States.
